Please read these Terms of Service ("Terms") carefully before using mrcdigitalstudio.com (the "Website") or engaging the services of Mr.C's Digital Studio ("we," "us," or "our"). By accessing the Website or submitting a project inquiry, you agree to be bound by these Terms.

1. General Services

Mr.C's Digital Studio provides bespoke web design, custom software development, and technical consulting services. All specific project scopes, deliverables, milestones, delivery windows, and pricing are defined in a separate formal Statement of Work (SOW) or proposal provided following an initial discovery consultation.

2. Intellectual Property Rights

The Website, brand identity, proprietary design motifs, custom 3D web graphics, and original codebase are owned exclusively by Mr.C's Digital Studio and are protected under United States and international copyright, trademark, and intellectual property laws.

For commissioned client engagements: upon full and final payment of all project invoices, full ownership of the bespoke website visual design, custom assets, and final production code is transferred to the client, excluding pre-existing developer base libraries, third-party software, or open-source dependencies (e.g., Three.js, GSAP).

3. Client Responsibilities

To adhere to our rapid delivery benchmarks (typically under 3 weeks), clients agree to furnish required branding assets, copy, high-resolution imagery, and timely review feedback within agreed project milestones. Significant delays in client feedback may adjust the scheduled delivery window.

4. Payment Terms & Invoicing

Unless expressly defined otherwise in a bespoke Statement of Work, standard project fees require a 50% initial commitment deposit prior to architectural commencement, with the remaining 50% due upon final staging sign-off prior to production deployment or domain transfer. Deposits are non-refundable once architectural sprint work has begun.

5. Warranty Disclaimer and Limitation of Liability

The Website is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. To the maximum extent permitted by applicable law, in no event shall Mr.C's Digital Studio, its founder, contractors, or affiliates be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, data, or downtime.

In any case, our maximum aggregate liability arising out of or related to our services or website shall not exceed the total fees paid by you to Mr.C's Digital Studio in the three (3) months preceding the event giving rise to claim.

6. Governing Law & Dispute Resolution

These Terms, and any dispute arising from or related to the Website or our services, shall be governed by and construed in accordance with the laws of the State of Delaware and the federal laws of the United States, without regard to its conflict of law principles. Both parties consent to the exclusive jurisdiction and venue of the federal and state courts located within the United States.

7. Amendments

We reserve the right to modify or replace these Terms at our discretion. Notice of substantial revisions will be provided by updating the date header of this document.
